About Rhys T.
Rhys T. Wilson is a Georgia-based attorney whose career has centered on corporate transactions, mergers and acquisitions, and the tax issues that often accompany them. He combines classroom study of tax law with courtroom and boardroom experience. The result is a practitioner comfortable on deal teams and in negotiation rooms.
He began his academic path at Duke University, where he earned a B.A. in 1972. He went on to receive a J.D. from The University of Georgia School of Law in 1976. He also holds an LL.M. in Taxation from Emory University School of Law. Those credentials have shaped how he evaluates deal structures and drafts transaction documents.
Wilson’s legal career spans several decades. Since receiving his law degree in 1976 he has worked on a broad range of corporate matters. He is a partner and co-leader of the Mergers & Acquisitions practice at Nelson Mullins. In that role he has overseen complex purchase agreements, asset and stock sales, and reorganization projects. His responsibilities include supervising teams, advising clients on deal mechanics, and coordinating tax analysis when structures require it.
Colleagues describe his work as detail-oriented and practical. He focuses on the legal mechanics of transactions: allocation of purchase price, indemnity provisions, representations and warranties, and closing deliverables. His LL.M. in Taxation informs that work. It allows him to parse tax consequences that affect deal negotiation, allocation of liabilities, and post-closing tax positions. He also spends time mentoring younger attorneys on drafting and negotiation techniques that matter in high-value deals.
Outside specific deal work, Wilson participates in the firm’s advisory discussions about practice strategy and client service for the corporate group. His practice brings together corporate law, transactional drafting, and tax analysis. He maintains his practice in Georgia as partner and co-leader of the Mergers & Acquisitions group at Nelson Mullins, where he continues to work on corporate transactions and related tax issues.
