About Prem

Prem Amarnani combines technical training and legal study in a way that shapes his approach to complex business problems. He earned a J.D. from Benjamin N. Cardozo School of Law, where he concentrated in Taxation and Commercial Law. Before law school he attended Stevens Institute of Technology, completing studies in Systems Engineering, Engineering Management, and Technology Management. He also holds a B.S. in Chemical Biology from Stevens, a background that gives him a grasp of scientific and technical concepts that often surface in corporate deals and disputes.

His legal career has taken him through several large firms. He began his firm work at Paul, Weiss, Rifkind, Wharton & Garrison LLP in 2007. After nearly a decade in that environment he moved to Skadden, Arps, Slate, Meagher & Flom LLP in 2016. In 2022 he joined McDermott, Will & Emery LLP as a partner. Those roles exposed him to high-stakes transactions and complex tax issues, and to the structures and risks that matter to corporate clients.

Amarnani’s academic background in taxation and commercial law steers the kinds of matters he handles. His technical studies make him comfortable with deals and disputes that touch on technology, life sciences, and engineering. He evaluates tax consequences, contract structures, and regulatory complications, and he works on transactional aspects that require cross-disciplinary fluency. Colleagues describe him as someone who explains technical subjects plainly and who maps legal options against business goals.

He is admitted to practice in New York. At McDermott he works on business and tax matters for corporate clients, often in contexts where scientific or technical subject matter is relevant. He writes and counsels on transactional strategy, tax structuring, and commercial agreements, applying both his legal training and his earlier engineering and scientific education. He maintains a practice that combines legal, technical, and commercial considerations.

Outside the office he has stayed connected to the subjects that shaped his studies. That background informs his selection of matters and his conversations with clients. He is a partner at McDermott, Will & Emery LLP, where he handles tax and commercial matters for corporate clients.
