About Lewis
Lewis Lazarus earned his law degree from Stanford Law School in 1982. He trained at one of the country’s leading law schools and has practiced in Delaware for decades. The legal education he received at Stanford set the groundwork for a career spent largely in corporate and commercial litigation.
His work centers on disputes that arise under Delaware business law. Over the years he has handled mergers and other transactions where controlling shareholders, directors or officers were alleged to have conflicts of interest. He has represented parties seeking inspection of corporate books and records and has litigated appraisal actions. He also has taken cases to determine a corporation’s officers and directors under Section 225 of the Delaware General Corporation Law.
Mr. Lazarus’s practice extends beyond corporations. He has represented managers and members of Delaware limited liability companies in partner and governance disputes. He has handled claims arising from Delaware statutory trusts and Delaware limited partnerships. Contract litigation is part of his repertoire as well, including matters over the enforceability of covenants not to compete in varied settings.
Over time he has taken on roles that intersect with the broader legal community in Delaware. He is a member of the Council of the Corporation Law Section and serves as Co-Chair of the Delaware Supreme Court Access to Justice Commission. He sits on the Delaware Supreme Court’s Board on Professional Responsibility. Nationally, he has ties to the American Bar Association through the Directors and Officers Liability Committee, and he belongs to the Federal Bar Association. He is a member of the Richard S. Rodney Inn of Court. Outside private practice, he serves as a guardian ad litem for the Office of the Child Advocate in Delaware, representing dependent and neglected children in court proceedings.
He practices from Morris James LLP in Wilmington, where he handles courtroom litigation, pretrial work and counseling for clients navigating Delaware’s corporate law framework. Colleagues describe him as methodical in litigation preparation and steady under pressure. He balances contested matters with roles that touch on court administration and professional ethics.
Mr. Lazarus remains active in the bar and in cases that shape Delaware corporate practice. He currently concentrates his practice on corporate and commercial litigation in Delaware.
